Infrastructure Installation. Within ten (10) Business Days of the date of this Agreement, Purchaser and/or its representatives shall be permitted reasonable access (subject to the provisions of Section 7.2(a)) to review each Branch for the purpose of planning to install automated equipment for use by Branch personnel. Following the receipt of the Regulatory Approvals (except for the expiration of statutory waiting periods), Seller grants to Purchaser a license at each of the Branches to (a) install voice and data circuits to the main point of entry at each Branch, (b) install Purchaser’s network interface equipment (router/switches), and (c) extend circuit demarcation points from the main point of entry at the applicable Branch to such network interface equipment (collectively, the “Infrastructure Installation”), it being agreed that under no circumstance shall the Infrastructure Installation include the installation or modification of station cabling for equipment, including printers, phones, personal computers and security cameras. All Infrastructure Installations shall be in accordance with the following terms and conditions: (i) The Infrastructure Installation shall be at the sole cost and expense of Purchaser, including the cost of obtaining all permits, licenses or other approvals, the cost of moving Seller’s furniture, fixtures or equipment, and the cost of internal or external utility relocation. Purchaser shall be solely responsible for repairing or replacing any damage or destruction to its installed infrastructure. Additionally, Purchaser shall repair any damage occurring at any Branch during the Infrastructure Installation process as a result of the installation and shall restore any area altered to its pre-existing condition if the Closing does not occur. (ii) The Infrastructure Installation shall be completed in a commercially reasonable and workmanlike manner and shall comply with the requirements of all local, state, and federal governmental authorities and quasi-governmental authorities, including with respect to materials and installation. Purchaser shall be responsible for obtaining all permits, licenses, or other approvals necessary for the Infrastructure Installation. Seller shall reasonably cooperate with Purchaser to obtain the necessary permits, licenses, or other approvals including, but not limited to, landlord consents for the installation of new signage per Section 4.10(v). Infrastructure Installation. Within twenty (20) Business Days of the date of this Agreement, Seller shall permit Purchaser and/or its representatives reasonable access to review the Branches for the purpose of planning to install automated equipment for use by Branch personnel. In the event that this Agreement is terminated pursuant to Article 10 after any Infrastructure Installation has occurred hereunder, Purchaser shall be solely responsible for all costs and expenses of removal of all infrastructure so installed at the Branches and shall fully indemnify Seller for any and all damage to the Branches arising or resulting from the Infrastructure Installation and/or the removal thereof.
Infrastructure Installation. In regard to any infrastructure installation: a) The Grantee must liaise with Department of Education and/or Building Management Works; b) If Development Approval is required, the Grantee must liaise with the relevant Local Government authority to obtain the appropriate building permit prior to works commencing; c) The Grantee is to supply the Your Move team with site photos and map to ascertain the suitability of chosen site; and d) The Grantee is to liaise with the Supplier to confirm the quote for provision of goods and/or services based on the specific site conditions and provide the Grantee’s Nominated Officer contact details to the Supplier (also applicable for bike education and bike skills tracks). If the Grantee is redeeming a Major Grant it must also provide to the Grantor a one-page description and site plan signed by the principal of the Grantee and approved by Department of Education/Building Management Works as required and complete a School Infrastructure Audit.
Infrastructure Installation. In regard to any infrastructure, including bike skills track surfacing and bike trail installation: a) The Grantee is to supply DoT with site photos and a map to ascertain the suitability of the chosen site; b) The Grantor, in consultation with the Grantee, will liaise with the Supplier to obtain and confirm the quote for the provision of goods and/or services based on the specific site conditions; c) The Grantee must liaise with the Department of Education, the Local Government Authority, any other relevant regulatory authority and the Supplier to obtain and implement at the Grantee’s cost, all necessary approvals or permits prior to the commencement of Project works.

  • Software Installation The AGENCY shall request approval in writing from the COUNTY prior to installation of any software on COUNTY computer equipment. All software installations must be supervised by COUNTY technical support staff and proof of licensing is required. Upon completion, the AGENCY is responsible for reconfiguring the computers back to the original state.

  • Equipment Installation In order to meet its obligations under this Agreement, a Party that owns, rents, or leases equipment (the equipment owner) may require installation of such equipment on property owned by another Party (the property owner), provided that the property is being used for an electric utility purpose and that the property owner shall not be required to do so if it would thereby be prevented from performing its own obligations or exercising its rights under this Agreement.
