Infrastructure ▇▇▇▇▇. Subject to the continued satisfaction of all the terms and conditions of this Agreement by Company, and the obligation of Company to repay the Infrastructure Grant pursuant to Section 5.2 hereof, HEDC agrees to provide the Infrastructure Grant to Company within thirty (30) days after HEDC receipt of a Payment Request from Company following the Commencement Date, provided Company has caused Completion of Construction of the Infrastructure. Company may submit the Payment Request to HEDC not earlier than thirty (30) days after the Commencement Date and no later than ninety (90) days thereafter. Failure of Company to timely submit the Payment Request for the Infrastructure Grant shall result in forfeiture of the payment of the Infrastructure Grant by HEDC to Company.
Infrastructure ▇▇▇▇▇. (a) Subject to the continued satisfaction of all the terms and conditions of this Agreement by Company and the obligation of Company to repay the Infrastructure Grant pursuant to Article V hereof, GEDCO agrees to provide the Infrastructure Grant to Company to be paid by GEDCO to Company to be paid in two (2) equal installments of Two Hundred Fifty Thousand Dollars ($250,000.00). (b) First Installment of the Infrastructure ▇▇▇▇▇. The first installment of the Infrastructure Grant in an amount of the lesser of: (i) Two Hundred Fifty Thousand Dollars ($250,000.00) and (ii) the amount of the incurred and paid by Company for the Infrastructure (the "First Installment") shall be paid by GEDCO to Company not later than thirty (30) days after receipt of a Payment Request following the date of Completion of the Phase 1 Improvements and verification of such costs by GEDCO. Company shall submit the Payment Request for the First Installment no later than ninety (90) days after date of Completion of Construction of Phase 1 Improvements. Failure of the Company to timely submit the Payment Request for the First Installment on or before ninety (90) days after the date of Completion of Construction of the Phase 1 Improvements shall result in forfeiture of the payment of the First Installment. (c) Second Installment of the Infrastructure ▇▇▇▇▇. The second installment of the Infrastructure Grant in an amount of the lesser of: (i) fifty percent (50%) the Maximum Grant Amount as reduced by the amount of the payment of the First Installment; or (ii) the amount of Eligible Costs incurred and paid by Company for the Infrastructure less the amount reimbursed by the First Installment (the "Second Installment") shall be paid by GEDCO to Company not later than thirty (30) days after receipt of a Payment Request following the date of Completion of Construction of the Phase 2 Improvements and verification of such costs by GEDCO. Company shall submit the Payment Request for the Second Installment no later than ninety (90) days after the date Completion of Construction of the Phase 2 Improvements. Failure of the Company to timely submit the Payment Request for the Second Installment on or before ninety (90) days after the date Completion of Construction of the Phase 2 Improvements shall result in forfeiture of the payment of the Second Installment of the Grant.
Infrastructure ▇▇▇▇▇. Subject to the obligation of the Company to repay the Infrastructure ▇▇▇▇▇ pursuant to Section 5.2 hereof and the continued satisfaction of all the terms and conditions of this Agreement by the Company, the City agrees to provide the Company with the Infrastructure ▇▇▇▇▇ to be paid as set forth herein.

  • Critical Infrastructure Subcontracts For purposes of this Paragraph, the designated countries are China, Iran, North Korea, Russia, and any countries lawfully designated by the Governor as a threat to critical infrastructure. Pursuant to Section 113.002 of the Business and Commerce Code, Contractor shall not enter into a subcontract that will provide direct or remote access to or control of critical infrastructure, as defined by Section 113.001 of the Texas Business and Commerce Code, in this state, other than access specifically allowed for product warranty and support purposes to any subcontractor unless (i) neither the subcontractor nor its parent company, nor any affiliate of the subcontractor or its parent company, is majority owned or controlled by citizens or governmental entities of a designated country; and (ii) neither the subcontractor nor its parent company, nor any affiliate of the subcontractor or its parent company, is headquartered in a designated country. Contractor will notify the System Agency before entering into any subcontract that will provide direct or remote access to or control of critical infrastructure, as defined by Section 113.001 of the Texas Business & Commerce Code, in this state.
