Common use of Infringements Clause in Contracts

Infringements. Each Assignor agrees, promptly upon learning thereof, to notify the Collateral Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is infringing or diluting or otherwise violating in any respect any of such Assignor's rights in and to any ▇▇▇▇, or (ii) with respect to any party claiming that such Assignor's use of any ▇▇▇▇ violates in any material respect any property right of that party. Each Assignor further agrees, unless otherwise agreed by the Collateral Agent, diligently to prosecute any Person infringing any ▇▇▇▇.

Infringements. Each Assignor agrees, promptly upon learning thereof, to notify the Collateral Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is infringing or diluting or otherwise violating in any material respect any of such Assignor's rights in and to any material ▇▇▇▇, or (ii) with respect to any party claiming that such Assignor's use of any material ▇▇▇▇ violates in any material respect any property right of that party. Each Assignor further agrees, unless otherwise agreed by the Collateral Agent, diligently to prosecute prosecute, in accordance with reasonable business practices, any Person infringing any material ▇▇▇▇▇ owned by such Assignor.

Infringements. Each Assignor agrees, promptly upon learning thereof, to notify the Collateral Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is infringing or diluting or otherwise violating in any material respect any of such Assignor's ’s rights in and to any material ▇▇▇▇▇ or Domain Name, or (ii) with respect to any party claiming that such Assignor's ’s use of any material ▇▇▇▇ or Domain Name violates in any material respect any property right of that party. Each Assignor further agrees, unless otherwise agreed by the Collateral Agent, diligently to prosecute prosecute, in a manner consistent with its past practice and in accordance with reasonable business practices, any Person infringing any material ▇▇▇▇▇ or Domain Name owned by such Assignor and material to the operation of the business.

Each Assignor agrees, promptly upon learning thereof, to notify the Collateral Administrative Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is infringing or diluting or otherwise violating in any material respect any of such Assignor's rights in and to any material Mark, ▇▇▇▇, or (ii) ▇ with respect to any party claiming that such Assignor's use of any material Mark ▇▇▇▇ violates lates in any material respect any property right of that party. Each Assignor further agrees, unless otherwise agreed by the Collateral Administrative Agent, diligently to prosecute any Person infringing any Mark ▇▇▇▇▇ accordance with reasonable business practices.

Each Assignor further agrees, unless otherwise agreed by the Collateral Agent, diligently to prosecute any Person infringing any Mark ▇▇▇▇▇ accordance with reasonable business practices.

Each Assignor agrees, promptly upon learning thereof, to notify the Second-Lien Collateral Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is infringing or diluting or otherwise violating in any material respect any of such Assignor's ’s rights in and to any ▇▇▇▇▇ or Domain Name, or (ii) with respect to any party claiming that such Assignor's ’s use of any ▇▇▇▇ or Domain Name violates in any material respect any property right of that party. Each Assignor further agrees, unless otherwise agreed by the Second-Lien Collateral Agent, diligently to prosecute prosecute, in accordance with reasonable business practices, any Person infringing any ▇▇▇▇▇ or Domain Name owned by such Assignor.

Infringements. Each Assignor agrees, promptly upon learning thereof, to notify the Collateral Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is infringing or diluting or otherwise violating in any material respect any of such Assignor's ’s rights in and to any Significant ▇▇▇▇, or (ii) with respect to any party claiming that such Assignor's ’s use of any Significant ▇▇▇▇ violates in any material respect any property right of that party. Each Assignor further agrees, unless otherwise agreed by the Collateral Agent, diligently to prosecute prosecute, in accordance with reasonable business practices, any Person infringing any Significant ▇▇▇▇▇ owned by such Assignor.

Infringements. Each Assignor agrees, promptly upon learning thereof, to notify the Collateral Agent in writing of the name and address of, and to furnish such pertinent information that may be available with respect to, (i) any party who such Assignor believes is may be infringing or diluting or otherwise violating in any respect any of such Assignor's rights in and to any significant ▇▇▇▇, or (ii) with respect to any party claiming that such Assignor's use of any significant ▇▇▇▇ violates in any material respect any property right of that party, to the extent that such infringement or violation could have a material effect on the financial condition, business or property of such Assignor. Each Assignor further agrees, unless otherwise agreed directed by the Collateral Agent, diligently to prosecute any Person person infringing any significant ▇▇▇▇▇ in a manner consistent with its past practice and in the ordinary course of business.
