Initial Balance Sheet. As soon as practicable, and in any event no later than January 31, 1996, a balance sheet as of the Closing Date (and after giving effect to all Related Transactions) of Borrower certified by an authorized officer of Borrower and, except as may be consented to by Lender, without significant variation from the balance sheet referred to in SECTION 10.3(C).
