Initial Designations Clause Samples
The Initial Designations clause establishes the specific parties, roles, or items that are identified at the outset of an agreement. Initial Designations. The Company initially appoints the Trustee as each of the Registrar, the Paying Agent, Conversion Agent, and the Notes initially may be presented for registration of transfer or for exchange, payment, repurchase, redemption and conversion to the Trustee, in its capacity as the Registrar, Paying Agent or Conversion Agent, as the case may be, at the Corporate Trust Office. Notices and demands to, or upon, the Company with respect to the Notes and this Indenture may be served at the Corporate Trust Office.
Initial Designations. The parties make the following designations pursuant to this Section 3:

Initial Designations. The letter delivered by Isis to Alnylam on the Restatement Date sets forth the Reserved DS-Targets as of the Restatement Date.
Initial Designations. The Company hereby designates the Trustee as the initial Paying Agent, Registrar, Custodian, Bid Solicitation Agent and Conversion Agent, and the Corporate Trust Office of the Trustee, or any other office or agency in the United States of America so designated by the Trustee, each shall be considered as one such office or agency of the Company for each of the aforesaid purposes.

Initial Designations. Developer will have the final decision-making authority with respect to the selection of architects, engineers, and contractors and the terms and conditions of any contracts for the design, development and construction of the Project (collectively and as may be amended, supplemented, or replaced from time to time, the “Project Contracts”); provided, however, that such selections with respect to the Project Contracts for the Public Infrastructure shall be made on behalf of and in coordination with the City and subject to Section 7.2 below. Developer or its Contractor shall obligate all counterparties to the Project Contracts to comply with any applicable requirements of such counterparties under this Agreement.

In the event of termination of the Chairman, Deputy Chairman, Executive Director or any of the Managers for whatever reason, the new person(s) to be designated and appointed to hold such office and/or position shall be designated by the Shareholder(s) that designated the person whose office and/or position is vacant, all in accordance with the provisions of this Section 2.3.

Immediately following the execution of this Agreement, the Board of Directors shall take such action as shall be required to create vacancies on the Board of Directors and the present audit, nominating and compensation committees of the Board of Directors, and to elect persons to the Board of Directors and to the Committees as specified in this Section 3.5
Initial Designations. The Company initially appoints the Trustee as each of the Security Registrar, the Paying Agent and the Conversion Agent and initially designates the Corporate Trust Office as the office where Securities may be registered for transfer or exchange, presented for payment, or presented for conversion. If the Company fails to maintain a Security Registrar, Paying Agent or Conversion Agent, the Trustee will act as such Security Registrar, Paying Agent or Conversion Agent and will be entitled to appropriate compensation therefor pursuant to Section 11.07 hereof. Either the Company or any of its domestically incorporated wholly owned Subsidiaries may act as the Security Registrar, the Paying Agent or the Conversion Agent; provided, however, that upon any bankruptcy or reorganization proceedings relating to the Company or any wholly-owned Subsidiary, the Trustee will serve as the Paying Agent.
