Common use of Initial Effort Clause in Contracts

Initial Effort. The Parties agree that the Sears Relationship Manager and the CSC Account Executive shall attempt in good faith to resolve all disputes (other than those described in Section 22.1(d) (Prerequisite to Formal Proceedings) or Section 26.15 (Equitable Remedies)). If the Sears Relationship Manager and the CSC Account Executive are unable to resolve a dispute in an amount of time that either Party deems reasonable under the circumstances (e.g., 15-30 days), such Party may refer the dispute for resolution to the senior corporate executives specified in Section 22.1(b) (Escalation) upon notice to the other Party.
