Common use of Initial Purchasers' Information Clause in Contracts

Initial Purchasers' Information. The Company, the Guarantors and the Initial Purchasers acknowledge and agree that the only information relating to any Initial Purchaser that has been furnished to the Company in writing by any Initial Purchaser through the Representative expressly for use in the Preliminary Offering Memorandum and the Offering Memorandum (or any amendment or supplement thereto) consists of the following: (i) the last paragraph on the front cover page concerning the terms of the offering by the Initial Purchasers; and (ii) the statements concerning the Initial Purchasers contained in the seventh, eighth and ninth paragraphs under the heading “Plan of Distribution”.

Initial Purchasers' Information. The Company, the Guarantors and the Initial Purchasers parties hereto acknowledge and agree that that, for all purposes of this Agreement, the only Initial Purchasers' Information consists solely of the following information relating to any Initial Purchaser that has been furnished to the Company in writing by any Initial Purchaser through the Representative expressly for use in the Preliminary Offering Memorandum and the Offering Memorandum (or any amendment or supplement thereto) consists of the followingMemorandum: (i) the last paragraph on the front cover page concerning the terms of the offering by the Initial Purchasers; and (ii) the legend on the inside front cover page concerning over-allotment and trading activities by the Initial Purchasers; (iii) the statements concerning the Initial Purchasers contained in the seventh, eighth and ninth paragraphs fifth paragraph under the heading “"Certain Transactions"; and (iv) the statements concerning the Initial Purchasers contained in the first and second sentences of the third paragraph and paragraph twelve under the heading "Plan of Distribution”".
