Common use of Initial Purchasers' Information Clause in Contracts

Initial Purchasers' Information. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ Information consists solely of the statements concerning the Initial Purchasers contained in the last sentence of the second paragraph and the sixth, seventh and eighth paragraphs under the heading “Plan of Distribution” in the Preliminary Offering Memorandum and the Offering Memorandum.

Initial Purchasers' Information. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ ' Information consists solely of the statements concerning the Initial Purchasers contained in the last sentence of the second paragraph first and the sixth, seventh and eighth fourth paragraphs under the heading “"Plan of Distribution” in the Preliminary Offering Memorandum and the Offering Memorandum."

The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ Information consists solely of the following information in the Offering Memorandum: (i) the statements concerning the Initial Purchasers initial purchasers contained in the last sentence of the second fourth paragraph and the sixth, seventh and eighth paragraphs under the heading “Plan of Distribution” in (which paragraph begins “We have been advised that the Preliminary Offering Memorandum initial purchasers propose to resell the notes….”) and (ii) the Offering Memorandumfirst sentence of the tenth paragraph under the heading “Plan of Distribution” (which sentence begins “In order to facilitate this offering .…”).

The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ ' Information consists solely of the following information in the Preliminary Offering Memorandum and the Offering Memorandum: the statements concerning the Initial Purchasers contained in the last sentence third paragraph, third and fourth sentences of the second paragraph tenth paragraph, and the sixth, seventh and eighth paragraphs eleventh paragraph under the heading “"Plan of Distribution” in the Preliminary Offering Memorandum and the Offering Memorandum".

The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Initial Purchasers’ Information consists solely of the statements concerning the Initial Purchasers contained set forth in the last fourth paragraph and the second sentence of the second fifth paragraph and the sixth, seventh and eighth paragraphs under the heading “Plan of Distribution” and statements set forth in the first paragraph under the caption “Plan of Distribution—Stabilization” in the Preliminary Offering Memorandum and the Final Offering Memorandum.
