Common use of Initial Shareholding Clause in Contracts

Initial Shareholding. Upon incorporation of the Company, the parties will subscribe for 100,000 Ordinary Shares which will be held as follows: 4.4.1 Yissum: 32,000 Ordinary Shares 4.4.2 YTF: 7,000 Ordinary Shares 4.4.3 Meytav: 61,000 Ordinary Shares of which 5,000 will be allocated to Meytav’s management, at least 8,400 will be allocated to the investors in the Supplementary Financing. Any Ordinary Shares not allocated to investors in the Supplementary Financing shall be held by Meytav in accordance with the Rules and Regulations.
