Initiation Confirmation Termination Extension. (a) Conditions Precedent to Initial Transaction. Purchaser’s agreement to enter into the initial Transaction (and, in the case of a Foreign Purchased Asset, the initial Transaction with any Seller in the relevant non-U.S. jurisdiction with respect to any Applicable Currency) is subject to the satisfaction, immediately prior to or concurrently with the making of such Transaction, of the following conditions precedent to the satisfaction of Purchaser and its counsel:
Initiation Confirmation Termination Extension. (a) Entry into Transactions. Prior to the Restructuring Amendment Date, certain Eligible Assets were transferred to Purchaser against the transfer of the Purchase Price therefor to an account of Seller. From and after the Restructuring Amendment Date, upon satisfaction of all conditions set forth in Article 3(h)(ii) for each Transaction, Transactions during the Availability Period are limited to increases of the Purchase Price of certain Future Advance Purchased Assets. The parties hereto agree and acknowledge that, from and after the Restructuring Amendment Date, Transactions during the Availability Period shall not include the purchase of Eligible Assets by Purchaser. Each Confirmation, together with this Agreement, shall be conclusive evidence of the terms of the Transaction covered thereby. In the event of any conflict between the terms of such Confirmation and the terms of this Agreement, the Confirmation shall prevail.
