Common use of Injunction, Litigation, etc Clause in Contracts

Injunction, Litigation, etc. No order of any court or governmental agency shall be in effect which restrains or prohibits the consummation of the Acquisition or the transactions contemplated by this Agreement or which would limit or affect the ability of Purchasers to own and control a portion of the Company, and there shall not have been threatened, nor shall there be pending, any action or proceeding by or before any such court or governmental agency seeking to prohibit or delay or challenging the validity of the Acquisition or the transactions contemplated by this Agreement.

Injunction, Litigation, etc. No order of any court or governmental administrative agency shall be in effect which restrains or prohibits the consummation of the Acquisition or the transactions contemplated by this Agreement hereby or which would limit or affect Company's rights to transfer the Acquired Assets to Purchaser or Purchaser's and Parent's ability of Purchasers to own and control a portion of consummate the Company, Transactions and there shall not have been threatened, nor shall there be pending, any action or proceeding by or before any such court or governmental agency seeking Governmental Entity which is likely to prohibit or prohibit, delay or challenging successfully challenge the validity of the Acquisition or any of the transactions contemplated by this Agreement.
