Inspection, etc. (a) The Company shall, upon reasonable prior notice to the Company and during normal business hours, permit authorized representative of any Stockholder to visit and inspect any of the properties of the Company, including its books of account, and to discuss its affairs, finances and accounts with its officers and independent accountants, all at reasonable times and at such Stockholder's expense; provided that no action requested under this Section 2.1 shall unreasonably interfere with the normal business operations of the Company. (b) Not later than the beginning of each fiscal year, the Company shall prepare and deliver to each Stockholder a copy of the Company's operating plan for such fiscal year of the Company.
