Common use of INSTRUCTIONS TO THE OWNER TRUSTEE Clause in Contracts

INSTRUCTIONS TO THE OWNER TRUSTEE. The Owner Participant agrees that its releasing the amount of its Commitment for the Aircraft to the account of the Owner Trustee in accordance with the terms of Section 2 and its instructions to the Owner Trustee to release such funds shall constitute, without further act, authorization and direction by the Owner Participant to the Owner Trustee: (i) to purchase the Aircraft from Lessee and to pay to Lessee the Lessor's Cost for the Aircraft; (ii) to the extent not previously accomplished by a prior authorization, to authorize a representative or representatives of the Owner Trustee (who shall be an employee or employees, or an agent or agents, of Lessee designated by Lessee) to accept delivery of the Aircraft on the Delivery Date pursuant to the Acceptance Certificate; (iii) to accept from Lessee the ▇▇▇▇ of Sale and the FAA ▇▇▇▇ of Sale for the Aircraft referred to in Section 4(a)(v)(8) and 4(a)(v)(9); (iv) to execute an Aircraft Registration Application, the Lease Supplement and the Trust Supplement, in each case covering the Aircraft; (v) to borrow from the Pass Through Trustee and issue the Equipment Notes as provided in Section 2(a); and (vi) to take such other action as may be required to be taken by the Owner Trustee on the Delivery Date by the terms of any Operative Document.

The Owner Participant agrees that its releasing the amount of its Commitment for the Aircraft to the account of the Owner Trustee in accordance with the terms of Section 2 and its instructions to the Owner Trustee to release such funds shall constitute, without further act, authorization and direction by the Owner Participant to the Owner Trustee: (i) to purchase the Aircraft from Lessee and to pay to Lessee the Lessor's Cost for the Aircraft; (ii) to the extent not previously accomplished by a prior authorization, to authorize a representative or representatives of the Owner Trustee (who shall be an employee or employees, or an agent or agents, of Lessee designated by Lessee) to accept delivery of the Aircraft on the Delivery Date pursuant to the Acceptance Certificate; (iii) to accept from Lessee the ▇▇▇▇ of Sale and Sale, the FAA ▇▇▇▇ of Sale Sale, the Consent and Agreement and Engine Agreement Assignment for the Aircraft referred to in Section 4(a)(v)(84(a)(iv)(8), 4(a)(iv)(9), 4(a)(iv)(13) and 4(a)(v)(94(a)(iv)(14); (iv) to execute an Aircraft Registration Application, the Lease Supplement and the Trust Supplement, in each case covering the Aircraft; (v) to borrow from the Pass Through Trustee and issue the Equipment Notes as provided in Section 2(a); and (vi) to take such other action as may be required to be taken by the Owner Trustee on the Delivery Date by the terms of any Operative Owner Trustee Document.
