Common use of Instruments of Assignment Clause in Contracts

Instruments of Assignment. No assignment or subletting or change in control of Tenant or transfer of assets of Tenant shall be valid or effective until there is delivered to Landlord a duplicate original of the written instrument of assignment or sublease containing the name and address of the assignee or subtenant and an express assumption by the assignee or subtenant or new principals of Tenant or new owner of the assets of Tenant of this Lease Agreement and of all of the obligations under this Lease to be performed by the Tenant.
