Common use of Instruments of Assumption Clause in Contracts

Instruments of Assumption. (i) The ▇▇▇▇ of Sale; (ii) the Assignment and Assumption; (iii) the Assignment of Proprietary Rights; (iv) the Assignment of Station Licenses; and (v) all other instruments and certificates of assumption, novation and release as the Seller may reasonably request in order to effectively make the Purchaser responsible for all Assumed Liabilities and release the Seller therefrom to the fullest extent permitted under applicable Law.

Instruments of Assumption. (iA) The ▇▇▇▇ Assignments and Assumptions of SaleLease, duly executed by the Purchaser(s); (iiB) the Assignment and AssumptionAssumption Agreement, duly executed by the applicable Purchaser(s); (iiiC) the Assignment of Proprietary Rights; (iv) Domain Name Assignments, duly executed by the Assignment of Station Licensesapplicable Purchaser(s); and (vD) all other instruments and certificates of assumption, novation and release assumption as the Seller Companies may reasonably request in order to effectively make the Purchaser Purchasers responsible for all Assumed Liabilities and release the Seller therefrom to the fullest extent permitted under applicable LawLiabilities.
