Integration; Amendment. This Agreement constitutes the entire agreement of among the Parties parties relating to the subject matter hereof. There are no promises, terms, conditions, obligations, or warranties other than those contained herein. This Agreement transactions described herein and supersedes any and all prior communicationsoral or written understandings. No amendment, representationsaddition to or modification of any provision hereof shall be binding on the parties, and no party shall be deemed to have waived any provision or agreementsany remedy available to it unless such amendment, verbal addition, modification or written, among waiver is in writing and signed by a duly authorized officer or representative of the Parties relating to the subject matter hereof. This Agreement may not be amended except in writingapplicable party or parties.

No amendment, verbal alteration, modification or written, among interpretation hereof shall be binding unless in writing and signed by the Parties relating to the subject matter hereof. This Agreement may not be amended except in writingMembers.

No waiver, representationsalteration, or agreements, verbal or written, among modification of any of the provisions of this Agreement will be binding unless in a writing and signed by duly authorized representatives of the Parties relating to the subject matter hereof. This Agreement may not be amended except in writinghereto.

This Agreement supersedes all prior communicationsnegotiations, representationsunderstandings, or and agreements, verbal whether written or writtenoral, among the Parties relating to concerning the subject matter hereofof this Agreement and constitutes the Parties' entire agreement. This Agreement may not be amended altered except in writingby a written instrument signed by authorized representatives of both Parties.
