Common use of Integration and Modification Clause in Contracts

Integration and Modification. This Agreement contains the entire agreement between the parties hereto with respect to the subject matter hereof (except for the Employment Agreement and its appendices executed as of even date herewith between the Executive and the Company) and supersedes all prior agreements and understandings, oral or written. This Agreement may not be changed, amended, or modified, except by a written instrument signed by the parties and shall survive the expiration or termination of the Employment Agreement.

Integration and Modification. This Agreement contains constitutes the entire agreement by and between the parties hereto with respect to the subject matter hereof (except for the Employment Agreement and its appendices executed as of even date herewith between the Executive and the Company) and supersedes all prior agreements and understandings, oral may be modified or writtenamended only in writing signed by both parties. This Agreement may not be changedspecifically supercedes all conversational discussions, amended, or modified, except representations and/or agreements by a written instrument signed by and between the parties with respect to Employee's employment with the Employer and shall survive retirement from employment with the expiration or termination of the Employment AgreementEmployer.

The parties agree that the Employment Agreement is hereby terminated and of no further legal force or writteneffect.
