Common use of Integration Fee Clause in Contracts

Integration Fee. The integration fee will cover fees and costs associated with creating and integrating technology resources dedicated to the Co-Branded Site, maintenance of the Co-Branded Site and Special Promotions (described in Section 3.2) to drive traffic to the Co-Branded Site. Company will pay CNET an integration fee totaling $1,000,000 as follows: 5.1.1 Upon execution of this Agreement, Company shall pay CNET $[***]; 5.1.2 On or before the 12 month anniversary date of this Agreement, Company shall pay CNET an additional [***]; 5.1.3 On or before the 18 month anniversary date of this Agreement, Company shall pay CNET an additional [***]. 5.1.4 Payments under this Section 5.1 will be made by check or wire transfer of immediately available funds as reasonably directed by CNET.
