Common use of Integration Team Clause in Contracts

Integration Team. Promptly after the date hereof, Parent will establish an integration team (the "Integration Team"). The Integration Team will be comprised of senior executive officers of Parent and the Company and, to the extent appropriate, other management members from both Parent and the Company. The Integration Team will review its recommendations with the Management Board of Parent. The Parent's chief executive officer will work closely with the Integration Team which is responsible for proposing alternatives and recommendations regarding the matters and issues arising in connection with the integration of the two companies and their respective businesses, assets and organizations. The Parent's chief executive officer ultimately has the responsibility for approving the recommendations and alternatives of the Integration Team.
