Common use of Intellectual Property Assignments Clause in Contracts

Intellectual Property Assignments. All current and former employees, consultants and independent contractors of the Company identified by Parent prior to the Effective Time (including those involved in the creation or development of intellectual property) to assign to the Company all rights to intellectual property related to the Company's business if such intellectual property rights were not previously assigned to the Company to Parent's satisfaction.
