Intellectual Property Contracts. Section 3.9(a)(ii) of the Seller Disclosure Letter contains a complete and accurate list of the Assigned Contracts to which Seller is a party: (A) under which Business Intellectual Property is licensed by Seller to any third party (other than licenses or support and maintenance agreements entered into in the ordinary course of business and in substantially the form set forth in Section 3.9(a)(ii) of the Seller Disclosure Letter), or (B) pursuant to which a third party has licensed to Seller any Intellectual Property used in the conduct of the Business ("Intellectual Property Contracts").
