Intellectual Property Searches Clause Samples

The Intellectual Property Searches clause outlines the responsibilities and procedures for conducting searches to identify existing intellectual property rights that may affect the subject matter of an agreement or project. Typically, this clause specifies which party is responsible for performing the search, the scope of the search (such as patents, trademarks, or copyrights), and how the results will be reported or acted upon. By clearly defining these obligations, the clause helps prevent inadvertent infringement of third-party rights and allocates responsibility for due diligence, thereby reducing the risk of legal disputes related to intellectual property.
