Common use of Intent of this Agreement Clause in Contracts

Intent of this Agreement. The parties to this Agreement have reached an understanding concerning various aspects of: (i) their business relationship with each other; and (ii) the organization and operation of the Company and its business. They wish to use rights created by statute to record and bind themselves to that understanding. The parties intend this Agreement to control, to the extent stated or fairly implied, the business and affairs of the Company, including the Company's governance structure and the Company's dissolution, winding up, and Termination as well as the relations {A0035913.DOC} among the Company's Members and persons who have signed Contribution Agreements and Contribution Allowance Agreements.
