Intent of this Agreement. The parties to this Agreement have reached an understanding concerning: (i) their business relationship with each other in connection with the purpose of the Company; and (ii) the organization and operation of the Company and its business. The parties intend this Agreement to control the business and affairs of the Company, including the Company's governance structure, the Company's dissolution, winding up, liquidation and termination, and the relations between the Company's Members.
