Inter-Company Services Clause Samples

The Inter-Company Services clause defines the terms under which one company within a corporate group provides services to another affiliated company. Typically, this clause outlines the scope of services, the basis for compensation or cost allocation, and the standards or performance expectations for the services rendered. For example, a parent company may provide administrative, IT, or management support to its subsidiaries, with costs allocated according to agreed formulas. The core function of this clause is to ensure transparency and fairness in inter-company transactions, helping to prevent disputes and comply with regulatory requirements such as transfer pricing rules.
Inter-Company Services. The material inter-company services provided to the Target Entities by any Affiliate of Vendor are disclosed in the Data Room.
Inter-Company Services. If the Board of Directors, at its sole discretion, decides that the Joint Venture Company will obtain certain services from Party A or Party B (or their respective Affiliates), Party A or Party B (or their respective Affiliates) (as the case may be) and the Joint Venture Company shall separately enter into a service contract pursuant to the terms and conditions approved by the Board of Directors.

(b) Computer systems, including (i) JD Edwards, ▇▇▇▇▇ ▇n a charge per terminal, (ii) InfoGenesis, (iii) casino system, and (iv) special programs. (c) Computer hardware, including (i) centralized buying, (ii) initial installation, and (iii) phone support to on-site tech. (d) Administration, including (i) Human Resources, (ii) payroll, (iii) general ledger, and (iv) accounts payable.
Inter-Company Services. (a) Section 3.21(a) of the Seller Disclosure Schedule lists each of the Contracts between or among one or more of the Companies, on the one hand, and either Seller or any of their respective Affiliates (other than a Company), on the other hand (in each case, an “Inter-Company 39 Contract”). Effective as of the Closing, each Inter-Company Contract (other than those listed in Section 3.21(b) of the Seller Disclosure Schedule) will be terminated (in the case of the applicable tax-sharing agreement, JRH/Australia will be released) and of no further effect and the Companies will have no further obligations thereunder. (b) Section 3.21(b) of the Seller Disclosure Schedules set forth the goods and services any Seller or any Affiliate of any Seller (other than the Companies) provides to, or receives from, the Companies, whether or not pursuant to an Inter-Company Contract.
Inter-Company Services. There are no material inter-company services provided to DevCo by any Affiliate of the Vendor, other than those provided in accordance with the terms of a Contract disclosed in SCHEDULE 5.2(20).

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation. Additional Cloud Service Terms are stated at ▇▇▇▇▇://▇▇▇▇▇.▇▇▇▇▇.▇▇▇/#cloud-services, which are incorporated by reference.

  • Pharmacy Services The Contractor agrees to comply with the requirements regarding covered pharmacy and over-the- counter (OTC) benefits. The Contractor will comply with the EOHHS Pharmacy Home Program and the Generics First Initiative, including the maintenance of the drug formulary in accordance with the direction of the EOHHS Pharmacy Committee.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia.
