Common use of Interim Basis Only Clause in Contracts

Interim Basis Only. The Parties acknowledge that the purpose of this Agreement is to provide Transition Services to a Service Recipient on an interim basis until such Service Recipient can perform such services for itself or obtain such services from a third party. Accordingly, at all times from and after the Effective Date, such Service Recipient shall use commercially reasonable efforts to make or obtain any approvals, permits or licenses, implement any computer systems and take, or cause to be taken, any and all other actions necessary or advisable for it to migrate and provide such services for itself, or obtain such services from a third party, as soon as reasonably practicable after the Effective Date.
