Common use of Internal Procedures Clause in Contracts

Internal Procedures. With effect from the date of this Agreement each Restricted Party shall adopt procedures within its organisation for ensuring the confidentiality of all Confidential Information which it is obliged to preserve as confidential under Clause 69.2. These procedures are:- 69.7.1 the Confidential Information will be disseminated within the Restricted Party only on a "need to know" basis; 69.7.2 employees, directors, agents, consultants and professional advisers of the Restricted Party in receipt of Confidential Information will be made fully aware of the Restricted Party's obligations of confidence in relation thereto; and 69.7.3 any copies of the Confidential Information, whether in hard copy or computerised form, will clearly identify the Confidential Information as confidential.

With effect from the date of this Agreement Signing Date each Restricted Receiving Party shall adopt procedures within its organisation for ensuring the confidentiality of all Confidential Information which it is obliged to preserve as confidential under Clause 69.2125.2. These procedures are:-are:- 1. 69.7.1 7.1 the Confidential Information will be disseminated within the Restricted Receiving Party only on a "need to know" basis;; 1. 69.7.2 7.2 employees, directors, agents, consultants and professional advisers of the Restricted Receiving Party in receipt of Confidential Information will be made fully aware of and bound to comply with the Restricted Receiving Party's obligations of confidence in relation thereto; andand 1. 69.7.3 7.3 any copies of the Confidential Information, whether in hard copy or computerised form, will clearly identify the Confidential Information as confidential.
