Common use of Interpretation and Order of Precedence Clause in Contracts

Interpretation and Order of Precedence. a. This Agreement supersedes and replaces any previous, separately executed Business Associate Agreement between the Parties. b. This Agreement is the complete agreement of the Parties with respect to their BA relationship under the HIPAA and HITECH regulations. c. This Agreement shall be interpreted as broadly as necessary to implement and comply with HIPAA and HITECH. d. Any ambiguity in this Agreement shall be resolved in favor of a meaning that complies and is consistent with HIPAA and HITECH. e. In the event of any conflict between the mandatory provisions of HIPAA and HITECH and the provisions of this Agreement, HIPAA and HITECH shall control. Where the provisions of this Agreement differ from those in HIPAA and HITECH, but are nonetheless permitted by HIPAA and HITECH, the provisions of this Agreement shall control.
