Interpretation Scope of Supplemental Indenture Supersession of Base Indenture Clause Samples

This clause defines how the terms and provisions of a supplemental indenture should be interpreted in relation to the original base indenture. It clarifies that the supplemental indenture may modify, expand, or override certain terms of the base indenture, and specifies that in the event of any conflict, the supplemental indenture's terms will take precedence. The core function of this clause is to ensure that any updates or changes made through a supplemental indenture are clearly understood to supersede conflicting provisions in the original agreement, thereby preventing ambiguity and ensuring legal clarity.
Interpretation Scope of Supplemental Indenture Supersession of Base Indenture. The amendments to the Base Indenture made by this Supplemental Indenture will apply solely with respect to the Notes and not with respect to any other class or series of Securities unless a supplemental indenture with respect to such other Securities specifically incorporates such amendments. For purposes of the Notes, if any provision of this Supplemental Indenture conflicts with any provision of the Base Indenture, then this Supplemental Indenture will control to the extent of such conflict, and, for the avoidance of doubt, the following provisions of the Base Indenture will not apply to the Notes: Articles 2 (other than Sections 2.01 and 2.02), 3, 4, 6, 9, 10, 11 and 13.
