Invalidity of a Provision. The invalidity or unenforceability of any provision of this Agreement in whole or in part shall in no way affect the validity of the remainder of this Agreement. The Parties shall agree to substitute such invalid or unenforceable provision by a valid and enforceable new provision which shall most closely achieve the purpose of the invalid or unenforceable provision.
