Common use of Inventory Location Clause in Contracts

Inventory Location. The Debtors hereby represent and warrant to the Secured Party that the Inventory is located only in or near the locations set forth on Exhibit A hereto. The Debtors will not open or establish any warehouse not owned or established as of the date of this Security Agreement or locate any Inventory at any location except as set forth above without obtaining the Secured Party's prior written consent and executing such financing statements as the Secured Party and its counsel deem necessary to perfect its security interest therein. The Debtors shall immediately notify the Secured Party of the occurrence of any event causing loss or depreciation in value (except for ordinary wear and tear and loss or depreciation in value) of Collateral and the amount of such loss or depreciation.
