Investigation or Litigation. There is no Proceeding pending or Threatened against, relating to or affecting the Seller, the Owner, the Assets or the Business. Neither Seller, Owner, the Business nor the Assets is subject to any currently existing Proceeding by any Governmental Body or other Person that would affect, or create a lien on, the Assets being purchased. To Seller's and Owner's knowledge, there is no reasonable basis for the assertion of any Proceeding by any Governmental Body or any Person regarding any violation of any Environmental Law or any other Applicable Law.
