If the Employee resigns as a result of an Involuntary Resignation or if the Company terminates the Employee’s employment without Cause, and such termination constitutes a “separation from service” (as defined under Treasury Regulation Section 1.409A-1(h)) (a “Separation from Service”), then, subject to satisfaction of the release requirements set forth in Section 2(v) below, Employee shall be entitled to the following benefits:”
