Common use of Irrevocable Proxy Clause in Contracts

Irrevocable Proxy. Concurrently with the execution of this Agreement, Shareholder agrees to deliver to Company an irrevocable proxy in the form attached hereto as Appendix A (the “Proxy”), which shall be irrevocable to the fullest extent permitted by applicable law, covering the total number of Shares and New Shares.

Irrevocable Proxy. Concurrently with the execution of this Agreement, the Shareholder agrees to deliver to Company an irrevocable the Placement Agent a proxy in the form attached hereto as Appendix Exhibit A (the “Proxy”), which shall be irrevocable to the fullest extent permitted permissible by applicable law, covering with respect to the total number of Shares and New Shares.

Concurrently with the execution of this Agreement, Shareholder agrees to Stockholder shall deliver to Company Docent an irrevocable proxy in the form attached hereto as Appendix Exhibit A (the “Proxy”), which shall be irrevocable to the fullest extent permitted by applicable law, covering with respect to the total number of Shares and New Shares.

Concurrently with the execution of this Agreement, Shareholder agrees to deliver to Company an irrevocable Acquiror a proxy in the form attached hereto as Appendix Exhibit A (the “"Proxy”"), which shall be irrevocable to the fullest extent permitted by applicable law, covering with respect to the total number of Shares, and shall be deemed to be coupled with an interest. Shareholder understands and agrees that such proxy shall be used in the event that Shareholder fails or is unable to vote the Shares and or the New Shares, if any, in accordance with Section 2. Section 4.

Concurrently with the execution of this Agreement, Shareholder agrees to Stockholder shall deliver to Company Intentia an irrevocable proxy in the form attached hereto as Appendix Exhibit A (the “Proxy”), which shall be irrevocable to the fullest extent permitted by applicable law, covering with respect to the total number of Shares and New Shares.

Concurrently with the execution of this Agreement, Shareholder each Stockholder agrees to deliver to Company Buyer an irrevocable proxy in the form attached hereto as Appendix Exhibit A (the “Proxy”), which shall be irrevocable to the fullest extent permitted by applicable lawLaw, covering the total number of Subject Shares and New Sharesas to which such Stockholder holds beneficial ownership at the time of the applicable Stockholder Vote.

Concurrently Simultaneously with the execution of this Agreement, Shareholder agrees to will deliver to Company an irrevocable Holdings a proxy in the form attached hereto as Appendix Exhibit A (the “"Proxy”"), which shall will be irrevocable with respect to the fullest extent permitted by applicable law, covering Capital Stock covered thereby. The parties agree that the total number of Shares and New SharesProxy is a proxy coupled with an interest.

Shareholder understands and agrees that such proxy shall be used in the event that Shareholder fails or is unable to vote the Shares and or the New Shares, if any, in accordance with Section 2.

Concurrently Each Employee Shareholder agrees that it shall, simultaneously with the execution and delivery of this Agreement, Shareholder agrees to execute and deliver to Company an irrevocable proxy in the form attached as Exhibit B hereto as Appendix A (the “Irrevocable Proxy”), which shall be irrevocable to the fullest extent permitted by applicable law, covering the total number of Shares and New Shares.
