Irrevocable Transfer Agent Instruction Letter. 1.2.1 Upon the Closing, the Company shall deliver to the Transfer Agent an Irrevocable Transfer Agent Instruction Letter in the form of attached as Exhibit C hereto, instructing the Transfer Agent to establish a reserve for shares of the Company’s Common Stock issuable upon conversion of the Notes pursuant to this Exchange Agreement. 1.2.2 The Notes and shares of Common Stock issuable upon conversion of the foregoing and the shares of Common Stock are sometimes referred to collectively, as the “Securities.”
