Common use of Issuance of Interests Clause in Contracts

Issuance of Interests. Except as provided in Section 2.2 or pursuant to a transfer permitted by Section 9.1 or Section 9.2, HoldCo shall not authorize or issue any interests in, or admit any members to, HoldCo, other than ▇▇▇▇▇▇▇▇ (or its designee) and Bidder Member. Except as provided in Section 2.5, HoldCo Sub shall not authorize or issue any interests in, or admit any members to, HoldCo Sub, other than HoldCo.
