Issuance of Ratings. The Note Insurer shall have received confirmation that the risk secured by the Note Insurance Policy constitutes an investment-grade risk, that the Class A-1 Notes when issued will be rated “A-1+” by S&P, “Prime 1” by ▇▇▇▇▇’▇ and “F1+” by Fitch and that the Class A-2 Notes, Class A-3 Notes, and Class A-4 Notes, when issued, will be rated “AAA” by S&P, “Aaa” by ▇▇▇▇▇’▇ and “AAA” by Fitch.

The Insurer has received confirmation that the Class A-1 Notes will be rated in the highest short term rating category by at least two nationally recognized statistical rating agencies, that the Class A-2 Notes and the Class A-3 Notes will be rated in the highest long term rating category by at least two nationally recognized statistical rating agencies and that, without the benefit of the Ambac Policy, the Class A Notes will have a shadow rating of at least BBB from S&P and Baa2 from ▇▇▇▇▇’▇;
