Issuance of Rights and Right Certificates. (a) Prior to the Distribution Date (i) the Rights will be evidenced by the certificates for the Capital Stock (which certificates shall be deemed also to be Right Certificates (as hereinafter defined)) and not by separate Right Certificates, and the registered holders of the Capital Stock shall be deemed to be the registered holders of the associated Rights, and (ii) each Right shall be transferable only simultaneously and together with the transfer of a share of Capital Stock (subject to adjustment as hereinafter provided).
