Issuing Lender and Swingline Lender Clause Samples

The 'Issuing Lender and Swingline Lender' clause defines the roles and responsibilities of specific lenders within a syndicated loan agreement. The Issuing Lender is typically responsible for issuing letters of credit on behalf of the borrower, while the Swingline Lender provides short-term, revolving credit advances known as swingline loans, which are usually smaller and intended to meet immediate liquidity needs. This clause clarifies which lenders are authorized to perform these functions and outlines the procedures for requesting and repaying such credit. Its core practical function is to ensure efficient management of specialized credit facilities within the broader loan structure, thereby streamlining operations and reducing confusion among the parties involved.
