IT IS THEREFORE AGREED. This Agreement is not intended to modify or amend the Security Agreement, but only to direct the activities of the Escrow Agent during the operation of the escrow. The Pledgor and the Collateral Agent confirm that the copy of the Security Agreement attached hereto as Exhibit A is a true and correct copy of the agreement executed and delivered (or to be executed and delivered) by the Pledgor and the Collateral Agent in connection with the execution and delivery of this Agreement and that there are no amendments or other documents or agreements thereto that may affect the Escrow Agent’s duties and responsibilities hereunder. The Escrow Agent has examined the Security Agreement and is empowered to perform such acts as are set forth in the Security Agreement.
