Joining Parties. 5.5.1. For the purpose of procuring additional com- petence as well as financial and intellectual contribu- tions to the Project the Parties may suggest potential Joining Parties to the Project, as both Primary Parties and Supporting Parties. Should a new party be proposed to join the Project, such initial proposition shall be con- sidered by the Project Board at a meeting. 5.5.2. The initial proposition, which shall include a brief report on the Joining Party as well as if such party is proposed as Primary Party or Supporting Party, must have been submitted with the notice and the agenda pri- or to the Project Board meeting or else the Project Board shall not be competent to make a decision. 5.5.3. Should the Project Board decide in fa-vour of the initial proposition, the Managing Party shall be as- signed to lead the discussions and negotiations with the Joining Party. 5.5.4. For the sole purpose of the facilitating the dis- cussions and negotiations, the Managing Party shall be permitted to disclose Confidential Information to the Joining Party. Prior to such disclosure, the Joining Party shall have signed a confidentiality agreement pertaining to such information, not less strict than the provisions contained in this Agreement, and the disclosure shall be as limited as possible. 5.5.5. After having finalized the negotiations, the Managing Party shall present a final proposition for the accession of the Joining Party at a meeting of the Project Board. The final proposition, which shall include a re- port on the terms and conditions of the accession of the Joining Party, must have been submitted with the notice and the agenda prior to the Board meeting or else the Project Board shall not be competent to make a decision. 5.5.6. Should any one of the Primary Parties, at the ini- tial or the final proposition, object to the proposed Joining Party on the grounds that such party is a competitor of the Primary Party in areas relevant to the research theme of the Project, or that the accession of the proposed Joining Party would otherwise affect the Primary Party adversely, the Project Board shall decide against the proposition. 5.5.7. Should any one of the Supporting Parties ob- ject to the proposed Joining Party such Supporting Party shall be given reasonable time to withdraw from the Pro- ject prior to the accession of the Joining Party and on the terms of Section 12.5. 5.5.8. Should the Joining Party be accepted by the Pri- ▇▇▇▇ Parties, the Joining Party shall be admitted to accede to the Project by the signing of an Accession Agreement on the terms and conditions agreed. Following accession, the Joining Party shall be regarded as a Primary Party or a Supporting Party, on equal terms as other Parties of such category. 5.5.9. Should a Supporting Party be proposed to shift category and become a Primary Party such proposition shall be assessed and decision be made pursuant to this Section 5.5.

Should any one of the Supporting Parties ob- ject to the proposed Joining Party such Supporting Party shall be given reasonable time to withdraw from the Pro- ject prior to the accession of the Joining Party and on the terms of Section 12.5. 5.5.8. The final proposition, which shall include a re- port report on the terms and conditions of the accession of the Joining Join- ing Party, must have been submitted with the notice and the agenda prior to the Board meeting or else the Project Board shall not be competent to make a decision. 5.5.65.6.6. Should any Any one of the Primary Parties, at the ini- tial initial or the final proposition, may object to the proposed Joining Party on the grounds that such party is a competitor of the Primary Party in areas relevant to the research theme of the Project, or that the accession of the proposed Joining Party would otherwise other- wise affect the Primary Party adversely. Should such Party inform the Project of its refusal to stay in the Project alongside the proposed Joining Party, the Project Board shall decide against without the propositionparticipation of such objecting Party, deliberate the matter. 5.5.75.6.7. Should any one Pursuant to the quorum rules of Section 5.3 the Supporting Parties ob- ject Project Board shall decide whether or not to accept the proposed Joining Party such Supporting Party. For the avoidance of doubt, a member of the Project Board which is a representative of an objecting Party shall be entitled to participate in the vote. 5.6.8. Should the decision of the Project Board be to accept the Joining Party and invite such Joining Party to accede to the Agreement, an objecting Party shall, if it so choses, be given reasonable time to withdraw from the Pro- ject Project prior to the such accession of the Joining Party and on the terms of Section 12.5. 5.5.85.6.9. Should a decision be made to accept the Joining Party be accepted by the Pri- ▇▇▇▇ PartiesJoin- ing Party, the Joining Party shall be admitted to accede to the Project by the signing of an Accession Agreement on the terms and conditions agreed. Should any one the Project Board decide in favour of the Primary Partiesinitial proposition, at the ini- tial Managing Party, or another Party if so decided, shall be assigned to lead the discus- sions and negotiations with the Joining Party. 5.10.4. For the sole purpose of the facilitating the dis- cussions and negotiations, the Managing Party or the other Party assigned, shall be permitted to disclose Con- fidential Information to the Joining Party. Prior to such disclosure the Joining Party shall have signed a confiden- tiality agreement pertaining to such information, not less strict than the provisions contained in this Agreement, and the disclosure shall be as limited as possible. 5.10.5. After having finalized the negotiations and after discussions with the Work Package Leaders, the Managing Party or the other Party assigned, shall pres- ent the Project Board with a final proposition for the accession of the Joining Party. The final proposition, object which shall include a report on the terms and condi- tions of the accession of the potential Joining Party as well as a brief report on the Joining Party’s contribu- tions to each relevant Work Package, must have been submitted with the notice and the agenda prior to the Board meeting or else the Project Board shall not be competent to make a decision. 5.10.6. The Work Package Leader of each Work Pack- age concerned shall without undue delay convene its Work Package Steering Committee to decide whether to accept the proposed Joining Party on to the grounds that such party is a competitor Work Package or not. A decision to accept the Joining Party to the Work Package must be unanimous, and no Party shall unrea- sonably withhold, condition or delay its approval. The de- cision shall without undue delay be reported by the Work Package Leader to the Project Board. 5.10.7. Following the decisions of the Primary Party in areas relevant to the research theme of the Project, or that the accession of the proposed Joining Party would otherwise affect the Primary Party adverselyWork Package Steering Committees, the Project Board shall decide against the propositionmake cor- responding decisions. 5.5.7. Should any one of the Supporting Parties ob- ject to the proposed Joining Party such Supporting Party shall be given reasonable time to withdraw from the Pro- ject prior to the accession of the Joining Party and on the terms of Section 12.5. 5.5.85.10.8. Should the Joining Party be accepted by the Pri- ▇▇▇▇ Partiesto join at least one Project Work Package, the Joining Party shall be admitted to accede to the Project by the signing of an Accession Agreement on Agreement, which shall include the terms agreed contributions of such party, and conditions agreedthe accepted Work Package(s).
