Joint Review Committee. After the end of the first Research Program, the Parties will establish a joint review committee (“Joint Review Committee”) comprised of an equal number of representatives from each Party. Each Party may change its representatives to the Joint Review Committee from time to time, in its sole discretion, effective upon notice to the other Party of such change. The representatives shall have appropriate technical credentials, experience and knowledge relevant to the development and commercialization of Products. Joint Review Committee. A Joint Review Committee will be established, consisting of the Local Chairman or their delegate, the Rules Instructor and another appropriate Officer(s), to review the various aspects of the training course following the completion of the first course and thereafter as the need arises.

Joint Review Committee. 12.1.1 Within sixty (60) days after the Effective Date, a Joint Review Committee composed of eight (8) members shall be formed. Petrobangla shall nominate three (3) members, Government shall nominate one (1) member and the Contractor shall nominate four (4) members.
12.1.2 One member of Petrobangla shall be designated as the Chairman of the Joint Review Committee and one member of the Contractor shall be designated as the Member Secretary of the Committee.
12.1.3 From time to time by at least ten (10) days' notice to the other Party, a Party may replace one or more of its members on the Joint Review Committee. Additional representatives of each Party may attend meetings of the Joint Review Committee as observers or alternate members.
12.1.4 A quorum for transaction of business by the Joint Review Committee shall consist of at least six (6) members of the Committee. Decisions and recommendations of the Joint Review Committee shall be made by unanimous votes of the members attending a meeting. Failing which the matter shall be promptly presented to Petrobangla and Contractor for consensus decisions and recommendations. Where unanimous agreement cannot be reached despite discussion between ▇▇▇▇▇▇▇▇▇▇▇ and Contractor, the matter shall be promptly presented to the Secretary of the Energy and Mineral Resources Division of the Government of Bangladesh for consultation and the opinion of the Secretary shall be used to assist the Joint Review Committee to arrive at a unanimous decision.
12.1.5 Contractor shall submit the following matters to the Joint Review Committee for recommendations and/or approval:
i) prior to the date of declaration of first Commercial Discovery, the annual Work Programs and Budgets in respect of Exploration Operations and any revisions or modifications thereto;
ii) after the date of declaration of first Commercial Discovery, the annual Work Program and Budgets in respect of Exploration Operations relating to Minimum Work Program during Initial Exploration Peroid and additional committed Work Program during Subsequent Exploration Period, if entered under Article 4.1 and any revisions and modifications thereto;
iii) annual work progress and costs incurred thereon;
iv) proposals for surrender or relinquishment of any part of the Contract Area as per Article 5;
v) proposals for an Appraisal Program or revisions or additions thereto and the declaration of a Discovery as a Commercial Discovery;

Section 1. The Committee shall meet at mutually convenient times to consult as provided herein, but not less than once every two (2) months.

The parties agree that at least one (1) week prior to the date scheduled for the regular meeting of the Committee described above, the Union and the City will exchange a written agenda listing subjects about which they desire to consult. The consultations as nearly as possible, will be confined to subjects on the agenda. By way of example, but not by way of limitation, said agenda subjects might include a discussion of work rules and methods or matters affecting the implementation of this Agreement, the status of current departmental projects, and fire fighting trends and/or other matters of professional interest.
