The Joint Undertakings clause defines the obligations and responsibilities that two or more parties agree to share in the course of a collaborative project or business venture. Typically, this clause outlines how resources, risks, profits, and decision-making authority will be distributed among the parties, and may specify joint management structures or procedures for resolving disputes. Its core practical function is to ensure that all parties have a clear understanding of their mutual commitments and to provide a framework for cooperation, thereby reducing the risk of misunderstandings or conflicts during the joint activity.
Joint Undertakings. Within an interstate library district, and as provided by a library agreement, the performance of library functions may be undertaken on a joint or cooperative basis or may be undertaken by means of one or more arrangements between or among public or private library agencies for the extension of library privileges to the use of facilities or services operated or rendered by one or more of the individual library agencies.
Joint Undertakings. Nothing in this Article prohibits the Governing Bodies from cooperating and mutually agreeing to jointly fund an Open Space Project in the Jurisdictional Area of the other. Consideration and approval of joint projects will follow the processes as outlined in this Agreement in Exhibit B. The project details supporting a joint project will be presented to OSAC and OLC at either separate meetings or a Joint City/County Open-Lands- Open Space Advisory Committee Meeting. The Council and the Board will each separately determine whether to approve their portion of the Joint Open Space Project and associated Open Space Bond funding request.
Joint Undertakings. First Star and NSB shall each:
(i) Filings and Approvals. Cooperate with the other in the preparation and filing, as soon as practicable, of (A) the Applications; (B) the Offering Documents and related filings under state securities laws covering the Conversion Stock to be issued pursuant to the Plan of Conversion; (C) the Registration Statement, including the Prospectus; (D) all other documents necessary to obtain any other approvals and consents required to effect consummation of the Merger Conversion and (E) all other documents contemplated by this Agreement;
Joint Undertakings. In order to apply COMPACT principles in the distribution of European funding we will work together to engage managing authorities, opt in partners and successful bidders with the undertakings of Hertfordshire COMPACT. Where conflicts arise we will discuss the potential effects and agree solutions together. Encourage feedback through an annual survey from a range of sources on the effectiveness of the SO/ VCS partnership and how successful it has been in delivering shared objectives. Place this feedback in the public domain.
Joint Undertakings. Both the Digital Transformation Agency and the other participants will: Work in good faith with the other participants to resolve any potentially problematic changes to ▇▇▇▇.▇▇▇.▇▇ DNS records.
Joint Undertakings. 26.1 For enhancing cooperation, the SAPSC may propose to the ANSP Board the establishment of common entities with or without legal personality.
26.2 No third parties shall be able to acquire shares or stock, or assets in the jointly established entities.
26.3 Any proposal for establishment of a common entity shall be carried out by submission of a detailed report proving that the establishment of such entity enhances the overall added value of the DANUBE FAB.
26.4 The decision for approval of the establishment of a common entity, supported by all relevant documentation shall be submitted to the Governing Council for carrying out the procedures under Article 21 of the State Agreement.
Joint Undertakings. Each of H-NET and DONOBI shall cooperate ------------------ and exercise commercially reasonable efforts to facilitate the consummation of the transactions contemplated by this Agreement so as to permit Closing to take place on the date provided herein and to satisfy the conditions to Closing set forth in Article 6. Both parties hereto agree that they will use their best efforts to cause a Form 8-K and an amended Form 8-K, if necessary, to be timely filed with the Securities and Exchange Commission concerning this transaction, which Form 8-K (and any amendment if necessary) will require audited financial statements for DONOBI and pro forma financial information for the companies as merged.
Joint Undertakings. Both Parties commit to:
5.1. Working together in good faith on joint projects specific to players and for the benefit of European football. This will include the sharing and access to any necessary information, data, knowledge and research between the two parties where appropriate;
5.2. Continuing dedicated support and programmes to further develop the women’s game, especially in terms of minimum standards and equal employment conditions and to strive for equal rights at domestic level across Europe;
5.3. Facilitating the full implementation of the minimum requirements for standard player contracts in the professional football sector as per the agreement between social partners of the EU Social Dialogue committee;
5.4. Supporting the EU Social Dialogue committee and its tasks including the following:
a) Enhancement of the “Autonomous Agreement”, with the aim of extending its scope to cover additional areas beyond the standard contract for professional players, such as safety in the workplace and players’ health to ensure the protection of rights and interests of all parties involved at European level;
b) Ensuring full compliance with the statutory obligation under Article 60 of the UEFA Statutes (Ed. 2024), in particular with consideration to FIFA’s regulatory framework for national dispute resolution ▇▇▇▇▇▇▇▇, based on the core principles of fair proceedings and equal representation between players and clubs;
c) Working together to review and ensure the football labour market is optimal and effective across Europe and agree to further discuss labour requirements as required;
5.5. Regularly reviewing the use and commercial optimisation of player data and intellectual property rights owned and controlled by either party in a bid to exploring opportunities for a commercial joint venture for both parties’ mutual benefit;
5.6. Promoting exchanges between elite European players and UEFA’s leadership, cooperating through the promotion and coordination of UEFA communication campaigns and player achievement ceremonies such as the Ballon d’Or or the UEFA awards, making best efforts to encourage full engagement and participation of the relevant players;
5.7. Committing to support, promote and co-host training sessions, matches and tournaments, for professional players from FIFPRO Europe members who are free agents;
5.8. Cooperating in areas within the context of players’ health and safety. This will include the continued development of medical research, the educatio...
Joint Undertakings. Both parties hereto agree that they will use their best efforts to cause a Form 8-K to be filed with the Securities and Exchange Commission concerning this transaction which Form 8-K will require audited financial statements for Sanitec and pro forma financial information for the companies as merger.
Joint Undertakings. 4.1 ▇▇▇▇▇ and OLLI shall publicize their affiliation appropriately in their respective print and electronic media.
4.2 ▇▇▇▇▇ and OLLI shall cooperate to promote their individual and joint interests, including but not limited to the following:
4.2.1 OLLI shall lend its official support and encourage its members to support the educational and financial objectives, policies and goals of ▇▇▇▇▇ before national, state and local government bodies, consistent with its non-profit status. To this end, OLLI shall welcome advice and suggestions from ▇▇▇▇▇ identifying current and anticipated issues where ▇▇▇▇’s official and individual member support would be welcome.
4.2.2 To the extent allowed by law, ▇▇▇▇▇ shall lend its official support and encourage its staff and faculty to support the educational and financial objectives, policies and goals of OLLI before corporate and government bodies and with private individuals. To this end, ▇▇▇▇▇ shall welcome advice and suggestions from OLLI identifying current and anticipated issues where ▇▇▇▇▇’▇ support would be welcome.
4.3 To facilitate cooperation, liaison and the exchange of information between ▇▇▇▇ and ▇▇▇▇▇, senior officials of ▇▇▇▇▇ and OLLI shall meet on an as needed basis, but at least annually, to review and discuss matters of mutual interest.
