Keeping and Marking of Records and Books. (i) Originator will maintain and implement administrative and operating procedures (including, without limitation, an ability to recreate records evidencing Receivables in the event of the destruction of the originals thereof), and keep and maintain all documents, books, records and other information reasonably necessary or advisable for the collection of all Receivables (including, without limitation, records adequate to permit the timely identification of each new Receivable and all Collections of and adjustments to each existing Receivable). Originator will give Buyer (or its assigns) notice of any material change in the administrative and operating procedures referred to in the previous sentence. (ii) Originator will (A) on or prior to the date hereof, ▇▇▇▇ its master data processing records and other books and records relating to the Receivables with a legend, acceptable to Buyer (or its assigns), describing Buyer’s ownership interests in the Receivables and further describing the Purchaser Interests of the Agent (on behalf of the Purchasers) under the Purchase Agreement and (B) upon the request of Buyer or the Agent, (x) at any time, following the occurrence of a Termination Event, at which the Agent is considering the termination of JDI as Servicer for purposes of the Purchase Agreement, ▇▇▇▇ each Contract with a legend describing Buyer’s ownership interests in the Receivables and further describing the Purchaser Interests of the Agent (on behalf of the Purchasers) and (y) after the termination of JDI as Servicer, deliver to Buyer or, if so directed by Buyer, the Agent all Contracts (including, without limitation, all multiple originals of any such Contract) relating to the Receivables.

(ii) Originator will (A) on or prior to the date hereof, ▇▇▇▇ its master data processing records and other books and records relating to the Receivables with a legend, acceptable to Buyer (or its assigns)and the Agent, describing Buyer’s ownership interests in the Receivables and further describing the Purchaser Interests of the Agent (on behalf of the Managing Agents and the Purchasers) under the Purchase Agreement and (B) upon the request of Buyer or the AgentAgent (with the consent or at the direction of the Required Financial Institutions) after the occurrence and during the continuation of a Termination Event or an Amortization Event under the Purchase Agreement, (x) at any time, following the occurrence of a Termination Event, at which the Agent is considering the termination of JDI as Servicer for purposes of the Purchase Agreement, ▇▇▇▇ each Contract with a legend describing Buyer’s ownership interests in the Receivables and further describing the Purchaser Interests of the Agent (on behalf of the Managing Agents and the Purchasers) and (y) after the termination of JDI as Servicer, deliver to Buyer or, if so directed by Buyer, (or the Agent as Buyer’s assignee) all Contracts (including, without limitation, all multiple originals of any such Contract) relating to the Receivables.

Originator The Parent will give Buyer the SPV (or its assigns) notice of any material change in the administrative and operating procedures referred to in the previous sentence. (ii) Originator The Parent will (A) on or prior to the date hereof, ▇▇▇▇ its master data processing records and other books and records relating to the Receivables with a legend, acceptable to Buyer the SPV (or its assigns), describing Buyer’s the SPV's ownership interests in the Receivables and further describing the Purchaser Interests security interest of the Administrative Agent (on behalf of the PurchasersSecured Parties) under the Purchase Agreement and (B) upon the request of Buyer the SPV (or the Agent, (xits assigns) at any time, following the occurrence of a Termination an Amortization Event, at which the Agent is considering the termination of JDI as Servicer for purposes of the Purchase Agreement, : (1) ▇▇▇▇ each Contract with a legend describing Buyer’s the SPV's ownership interests in the Receivables originated by the Parent and further describing the Purchaser Receivable Interests of the Administrative Agent (on behalf of the PurchasersSecured Parties) and (y2) after the termination occurrence of JDI as Servicerany Termination Event, deliver to Buyer or, if so directed by Buyer, the Agent SPV (or its assigns) all Contracts (including, without limitation, all multiple originals of any such Contract) relating to the such Receivables.
