Common use of Kingdom of Sweden Clause in Contracts

Each Dealer understands that the Base Listing Particulars is not a prospectus and has not been prepared in accordance with the prospectus requirements provided for in Prospectus Regulation, the Act on Supplementary Provisions to the Prospectus Regulation (lag (2019:414) med kompletterande bestämmelser till EU:s prospektförordning), the Swedish Financial Instruments Trading Act (lag (1991:980) ▇▇ ▇▇▇▇▇▇ med finansiella instrument) nor any other Swedish enactment. Neither the Swedish Financial Supervisory Authority (Finansinspektionen) nor any other Swedish public body has examined, approved or registered the Base Listing Particulars or will examine, approve or register the Base Listing Particulars. Each Dealer represents and agrees that it will not, directly or indirectly, offer for subscription or purchase or issue invitations to subscribe for or buy or sell any Notes or distribute any draft or definite document in relation to any such offer, invitation or sale in the Kingdom of Sweden except in circumstances that will not result in a requirement to prepare a prospectus pursuant to the provisions of the Prospectus Regulation, the Act on Supplementary Provisions to the Prospectus Regulation, the Swedish Financial Instruments Trading Act) nor any other Swedish enactment.
