Knowing and Voluntary. Executive acknowledges that Executive is entering into this Agreement freely, knowingly and voluntarily, without duress or coercion, and with a full understanding of its terms. Executive further acknowledges that Executive (a) Has carefully read and understands this Agreement; (b) Is, through this Agreement, releasing Ross from any and all claims Executive may have against it that have arisen prior to or as of the date of this Agreement, including but not limited to, rights or claims arising under the Age Discrimination in Employment Act of 1967; (c) Knowingly and voluntarily agrees to all of the terms set forth in this Agreement; and (d) Knowingly and voluntarily intends to be legally bound by the terms of this Agreement; The following subparagraphs shall be applicable only if Executive is forty years of age or older at the time Executive signs this Agreement. (e) Executive has been given a full twenty-one (21) days within which to consider the terms of this Agreement and consult with an attorney of Executive's choice and, to the extent Executive executes this Agreement prior to expiration of the full twenty-one (21) days, Executive knowingly and voluntarily waives that period; and (f) Executive has a full seven (7) days following the execution of this Agreement to revoke this Agreement (the “Revocation Period") by providing written revocation notice to the Company’s General Counsel or such other person as the Company designates. The revocation must be personally delivered or mailed to the General Counsel or such other person as the Company designates at ▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇., ▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇ and postmarked within seven (7) calendar days of Executive’s execution of this Agreement. This Agreement shall not become effective or enforceable until the Revocation Period has expired.

(d) Knowingly and voluntarily intends She has been advised to be legally bound by the terms of this Agreement; The following subparagraphs shall be applicable only if Executive is forty years of age or older at the time Executive signs consult with an attorney prior to signing this Agreement. (e) Executive She has been given a full received valuable consideration for this Agreement other than amounts she is already entitled to receive. (f) The Employee has received this Agreement on April 1, 2015 and acknowledges that the Company has provided her with at least twenty-one (21) days within which to consider the terms of whether to sign it. The Employee agrees that changes or modifications to this Agreement and consult with an attorney of Executive's choice and, to do not restart or otherwise extend the extent Executive executes this Agreement prior to expiration of the full above twenty-one (21) daysday period. If the Employee chooses to sign this Agreement before twenty-one (21) days has passed, Executive knowingly she certifies that she does so voluntarily and voluntarily waives that period; andwithout coercion. If the Employee signs this Agreement before the Separation Date, she agrees to re-sign this Agreement on or after the Separation Date, thereby reaffirming her commitment to the terms and conditions of this Agreement through the Separation Date. The revocation must be personally delivered or mailed to the General Counsel or such other person as the Company designates at ▇Counsel, ▇▇▇ ▇▇▇▇▇▇▇▇▇▇ ▇▇.▇▇, ▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇ and postmarked within seven (7) calendar days of Executive’s execution of this Agreement▇. This Agreement shall will not become be effective or enforceable until the Revocation Period has expiredeighth (8th) day following the Company’s receipt of this Agreement signed by the Employee. No Separation Benefits described in Section 2 above shall be due, owing or paid by the Company unless and until this Agreement becomes effective (“Effective Date”). The Employee shall forfeit all Separation Benefits described in Section 2 above if she revokes this Agreement prior to the Effective Date.
