Common use of Knowledge of Parent Clause in Contracts

Knowledge of Parent. As of the date hereof, neither Parent nor any of its Affiliates has any actual knowledge that any representation or warranty of the Company made in this Agreement is untrue or inaccurate in any material respect.

Parent hereby acknowledges and agrees that it and its Affiliates shall have no right or remedy hereunder based on the inaccuracy of any representation or warranty contained in Article III hereof of which they had actual knowledge as of the date hereof.
