Labor Difficulties. The Company is not engaged in any unfair labor practice or in violation of any applicable laws respecting employment, employment practices or terms and conditions of employment, except where such practice or violation would not have a Material Adverse Effect on the Company. There is no unfair labor practice complaint against the Company pending or threatened before any Governmental Entity. There is no strike, labor dispute, slowdown, or stoppage pending or threatened against the Company. The Company is not now and has never been subject to any union organizing activities. The Company has not experienced any work stoppage or other labor difficulty.
