Common use of Labor Unions Clause in Contracts

Labor Unions. To the Knowledge of Seller, as of the date hereof, there ------------ is no current labor union representation issue involving employees of PGE or PGH II or any of their respective subsidiaries and no activity or proceeding of any labor organization (or representative thereof) or employee group (or representative thereof) to organize any such employees. Except as disclosed in the PGE SEC Reports or as disclosed in Section 3.9(l) of the Seller Disclosure Schedule: (i) neither PGE, PGH II nor any of their respective subsidiaries is a party to any collective bargaining agreement or other labor agreement with any union or labor organization; (ii) there is no unfair labor practice charge or grievance arising out of a collective bargaining agreement or other grievance procedure against PGE, PGH II or any of their respective subsidiaries pending or, to the Knowledge of Seller, threatened that has, or reasonably may be expected to have, a PGE Material Adverse Effect and (iii) there is no strike, dispute, slowdown, work stoppage or lockout pending or, to the Knowledge of Seller, threatened, against or involving PGE, PGH II or any of their respective subsidiaries that has or, reasonably may be expected to have, a PGE Material Adverse Effect.

To the Knowledge of SellerNW Natural, as of the date hereof, ------------ there ------------ is no current labor union representation issue involving employees of PGE or PGH II NW Natural or any of their respective its subsidiaries and no or any activity or proceeding of any labor organization (or representative thereof) or employee group (or representative thereof) to organize any such employees. Except as disclosed in the PGE NW Natural SEC Reports or as disclosed in Section 3.9(l4.9(i) of the Seller NW Natural Disclosure Schedule: (i) neither PGE, PGH II NW Natural nor any of their respective its subsidiaries is a party to any collective bargaining agreement or other labor agreement with any union or labor organization; (ii) there is no unfair labor practice charge or grievance arising out of a collective bargaining agreement or other grievance procedure against PGE, PGH II NW Natural or any of their respective its subsidiaries pending orpending, or to the Knowledge of SellerNW Natural, threatened threatened, that has, or reasonably may be expected to have, a PGE NW Natural Material Adverse Effect Effect; and (iii) there is no strike, dispute, slowdown, work stoppage or lockout pending orpending, or to the Knowledge of SellerNW Natural, threatened, against or involving PGE, PGH II NW Natural or any of their respective its subsidiaries that has or, reasonably may be expected to have, a PGE NW Natural Material Adverse Effect.
