After the Effective Date, there are no material pending condemnation, zoning or other land use proceedings or special assessment proceedings with respect to the Effective Date Mortgaged Properties or the use thereof, and Seller has not received written notice from any Governmental Authority threatening any such proceeding. Seller has not entered into any agreements or commitments with Governmental Authorities that will be binding on the Effective Date Mortgaged Properties after the Effective Date and which would (i) materially affect the operations of or the entitlements applicable to such properties, (ii) require the owner of any such property to make improvements to such property or make dedications or off-site improvements for the benefit of adjoining properties, or (iii) make additional expenditures with respect to the operation of the Effective Date Mortgaged Properties.
